1. Acceptance of Terms
By accessing or using any services, products, or digital materials provided by SkySpire Media LLC (“SkySpire Media,” “we,” “our,” or “us”), you (“Client,” “User,” or “You”) agree to be bound by these Terms & Conditions. If you do not agree, you may not use our services.
2. Services Provided
SkySpire Media LLC provides creative services including, but not limited to:
- Graphic design
- Branding and identity creation
- Media production (photo, video, digital content)
- Illustration and artwork
- Website graphics
- Marketing/advertising design
- Digital editing and post-production
SkySpire Media reserves the right to update or discontinue services at any time.
3. Quotes, Proposals & Contracts
Any price quotes, proposals, or project scopes provided are valid for 30 days unless otherwise stated.
A project begins only after:
- Scope of work is agreed upon,
- A contract or written confirmation is signed/accepted, and
- Any required deposit is received.
4. Payments & Billing
- A non-refundable deposit (typically 50%) may be required before work begins.
- Remaining balances are due upon project completion and before delivery of final files unless otherwise agreed in writing.
- Late payments may incur a late fee of up to 10% per month or the maximum allowed by law.
- All rush jobs (projects required faster than standard timelines) may incur additional charges.
Projects paused for 30+ days due to client delay may be billed up to the work completed to date.
5. Revisions & Approvals
Most projects include a set number of revision rounds as defined in the proposal. Additional revisions will be billed at SkySpire Media’s hourly or per-revision rate.
Final approval from the client signifies acceptance of the design/work as delivered. After approval, any further changes will be billed as new work.
6. Client Responsibilities
The client agrees to:
- Provide accurate, timely information, materials, and feedback
- Secure all rights, licenses, or permissions for materials provided
- Review proofs and drafts responsibly for errors
- Respond in a timely manner to prevent project delays
SkySpire Media is not responsible for missed deadlines if the client fails to provide necessary information or approvals.
7. Intellectual Property & Ownership
a. SkySpire Media Rights
Until full payment is received, all project files, drafts, concepts, and materials remain the intellectual property of SkySpire Media LLC.
Upon full payment:
- The client receives usage rights as defined in the proposal (e.g., commercial use, editorial use).
- SkySpire Media retains the right to use any completed project for portfolio, marketing, and promotional purposes unless otherwise agreed in writing.
b. Client Materials
The client represents that all materials provided (images, logos, text, etc.) do not infringe on any third-party rights.
SkySpire Media is not liable for copyright or trademark violations caused by client-supplied materials.
8. Project Delivery
Final deliverables will be provided in industry-standard formats (e.g., JPG, PNG, PDF, MP4, AI, PSD) as agreed upon in the project scope.
SkySpire Media is not responsible for compatibility issues with outdated software or client-side hardware.
9. Turnaround Time
Project timelines provided are estimates. Actual turnaround depends on workload, timely client communication, and project complexity.
Rush or same-day projects may incur an additional fee.
10. Cancellation & Termination
Either party may cancel a project with written notice. If canceled:
- Client must pay for all work completed up to the cancellation date.
- Deposits are non-refundable.
- SkySpire Media may retain all rights to unfinished or unpaid-for work.
SkySpire Media may terminate services for non-payment, inappropriate conduct, or breach of these Terms.
11. Limitation of Liability
SkySpire Media LLC is not liable for:
- Lost profits, lost data, or indirect damages
- Delays caused by third-party platforms, printers, vendors, or the client
- Misuse of delivered designs by the client or third parties
Total liability will not exceed the amount paid by the client for the specific project.
12. No Guarantees
SkySpire Media makes no guarantees of specific outcomes such as increased sales, social media performance, or business growth as a result of design or media services.
13. Third-Party Services
If a project involves third-party tools or platforms (printers, stock media providers, website hosts, etc.), the client agrees to follow their terms as well. SkySpire Media is not responsible for third-party service failures.
14. Confidentiality
Any private business information shared between the client and SkySpire Media will remain confidential unless disclosure is required by law or agreed upon in writing.
15. Governing Law
These Terms & Conditions shall be governed by the laws of the State of Montana, without regard to conflict-of-law principles.
Any disputes shall be resolved in a Montana court of competent jurisdiction.
16. Modifications
SkySpire Media reserves the right to update or modify these Terms at any time. Continued use of our services constitutes acceptance of any updated terms.
