These Terms & Conditions (“Terms”) constitute a legally binding agreement between you and SkySpire Media LLC (“SkySpire Media,” “we,” “our,” or “us”). By accessing or using any services, products, or digital materials provided by SkySpire Media, you (“Client,” “User,” or “you”) agree to be bound by these Terms. If you do not agree, you may not use our services.
1. Services Provided
SkySpire Media LLC provides creative and digital media services, including but not limited to:
- Graphic design
- Branding and identity creation
- Media production (photo, video, digital content)
- Illustration and artwork
- Website graphics
- Marketing and advertising design
- Digital editing and post-production
All services are subject to availability. SkySpire Media reserves the right to modify, suspend, or discontinue any services at any time without notice.
2. Quotes, Proposals & Contracts
All quotes, estimates, or proposals are valid for thirty (30) days unless otherwise stated.
A project begins only after:
- The scope of work is mutually agreed upon;
- A written agreement or acceptance (including email or digital signature) is received; and
- Any required deposit is paid in full.
3. Payments & Billing
A non-refundable deposit (typically fifty percent (50%)) may be required before work begins. The deposit reserves time, administrative resources, and scheduling, and is not contingent upon project completion.
Remaining balances are due upon project completion and before delivery of final files unless otherwise agreed in writing.
- Invoices are due upon receipt unless stated otherwise.
- Late payments may incur a late fee of up to ten percent (10%) per month or the maximum allowed by law.
- Rush or expedited projects may incur additional charges.
- Projects paused for thirty (30) days or more due to client delay may be invoiced for all work completed to date.
- Any billing disputes must be submitted in writing within five (5) business days of the invoice date. If no such dispute is received within this period, the invoice will be deemed accepted in full and final.
4. Revisions & Approvals
Projects include the number of revision rounds specified in the proposal. Additional revisions will be billed at SkySpire Media’s standard hourly or per-revision rate.
Revisions must be requested within thirty (30) days of delivery unless otherwise agreed.
Final client approval constitutes acceptance of the work “as-is.” Any changes requested after approval will be treated as new work and billed accordingly.
5. Client Responsibilities
The client agrees to:
- Provide accurate, complete, and timely information and materials;
- Secure all rights, licenses, and permissions for any materials supplied;
- Review deliverables carefully for errors or omissions; and
- Respond promptly to avoid delays.
SkySpire Media is not responsible for delays, missed deadlines, or quality issues resulting from incomplete, inaccurate, or late client materials or approvals.
6. Intellectual Property & Ownership
a. SkySpire Media Rights
All concepts, drafts, working files, source files, and preliminary materials remain the exclusive intellectual property of SkySpire Media LLC until full payment is received.
Upon full payment, SkySpire Media grants the client a non-exclusive, non-transferable, non-sublicensable license to use the final deliverables solely for the purpose outlined in the agreed scope of work.
Unless expressly authorized in writing, the client may not:
- Resell, sublicense, or redistribute the deliverables;
- Use the deliverables outside the agreed purpose; or
- Use the deliverables for machine learning, AI training, or derivative automation.
SkySpire Media retains the right to display completed work in its portfolio, website, and marketing materials unless otherwise agreed in writing. Native or working files (e.g., PSD, AI) are not included unless expressly stated.
b. Client Materials
The client represents and warrants that all materials provided do not infringe any third-party rights. The client agrees to indemnify and hold SkySpire Media harmless from any claims arising from the use of client-supplied materials.
7. Project Delivery
Final deliverables will be provided in industry-standard formats as specified in the project agreement.
SkySpire Media is not responsible for compatibility issues related to outdated or unsupported software, platforms, or hardware used by the client.
8. Turnaround Time
All timelines are estimates and depend on workload, project complexity, and timely client communication. Delays caused by the client extend timelines accordingly.
Rush or same-day projects may incur additional fees.
9. Cancellation & Termination
Either party may cancel a project with written notice.
If canceled:
- The client is responsible for payment of all work completed up to the cancellation date;
- Deposits are non-refundable; and
- SkySpire Media retains ownership of all unpaid or unfinished work.
SkySpire Media may terminate services immediately for non-payment, abusive or inappropriate conduct, or material breach of these Terms.
10. Limitation of Liability
To the fullest extent permitted by law, SkySpire Media LLC shall not be liable for:
- Indirect, incidental, consequential, or special damages;
- Lost profits, data, or business opportunities;
- Third-party platform failures or vendor issues;
- Client misuse or alteration of deliverables.
Total liability shall not exceed the amount paid by the client for the specific project giving rise to the claim.
11. No Guarantees
SkySpire Media does not guarantee specific outcomes, including increases in sales, engagement, rankings, revenue, or business growth. Creative services involve subjective judgment and external variables beyond our control.
12. Third-Party Services
Projects involving third-party platforms or vendors are subject to those parties’ terms. SkySpire Media is not responsible for third-party failures, changes, or interruptions.
13. Confidentiality
Both parties agree to keep confidential any non-public, proprietary, or sensitive information shared during the project. This obligation survives termination and does not apply to information that is public, previously known, or disclosed by law.
14. Data & Privacy
Any personal data collected is handled in accordance with SkySpire Media’s Privacy Policy. By using our services, you acknowledge and agree to those data practices.
15. Governing Law & Venue
These Terms are governed by the laws of the State of Montana, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in state or federal courts located in Montana, and both parties consent to jurisdiction there.
16. Force Majeure
SkySpire Media is not liable for failure or delay due to events beyond its reasonable control, including but not limited to natural disasters, internet outages, labor disputes, governmental actions, or public health emergencies.
17. Assignment
The client may not assign or transfer any rights or obligations under these Terms without SkySpire Media’s prior written consent.
18. Indemnification
Each party agrees to indemnify, defend, and hold harmless the other from any claims, damages, losses, or expenses (including attorneys’ fees) arising from a breach of these Terms, misuse of deliverables, or violation of applicable law.
19. Modifications
SkySpire Media may update these Terms at any time. Material changes will be posted on our website or provided by email. Continued use of services constitutes acceptance of the revised Terms.
